Terms of use
Welcome to the website and other digital platforms or services provided or managed by MCM Partners (“MCM Partners”, the “Company”, “we”, “us” or “our”) (collectively, the “Platform”).
By accessing, browsing, logging into, registering for, or otherwise using the Platform, you confirm that you have read, understood and agreed to be bound by these Terms of Use. If you do not agree to these Terms of Use, please do not use the Platform or any of its services.
These Terms of Use shall be read together with our Privacy Policy Statement, Personal Information Collection Statement, ticketing terms, venue rental terms, event admission terms and other applicable terms. In the event of any inconsistency between these Terms of Use and any additional terms applicable to a specific service, such additional terms shall prevail.
1. General
1.1 MCM Partners is the owner, manager and/or operator of the Platform.
1.2 The Company may from time to time provide information and services relating to programmes, events and other related matters through the Platform.
1.3 The Company reserves the right to modify, suspend, withdraw or discontinue all or any part of the content, functions or services of the Platform at any time without prior notice.
2. Acceptance and Amendment of Terms
2.1 By using the Platform, you agree to be bound by these Terms of Use and any other applicable terms published by the Company from time to time.
2.2 The Company may revise, update or amend these Terms of Use at any time. The revised version shall take effect upon publication on the Platform.
2.3 Your continued use of the Platform after any revised version has taken effect shall constitute your acceptance of such revisions.
3. Eligibility
3.1 You represent and warrant that you have the legal capacity to use the Platform in accordance with applicable laws and these Terms of Use.
3.2 If you are under the age of 18, you should use the Platform only with the consent and supervision of your parent or legal guardian.
3.3 The Company may impose age, identity, geographical or other restrictions on certain services, events, membership programmes or functions.
4. Intellectual Property
4.1 All content on the Platform, including but not limited to text, images, graphics, designs, trademarks, logos, button icons, audio, video, livestream content, software, layout, databases and other materials (collectively, the “Content”), and all intellectual property rights therein, are owned by MCM Partners or its licensors.
4.2 Unless prior written consent has been obtained from the Company, you may not copy, modify, publish, transmit, display, distribute, sell, license, reverse engineer, create derivative works from, or otherwise use any Content on the Platform in any manner.
4.3 You may only browse or print Content for lawful, personal and non-commercial use, provided that no copyright, trademark or other proprietary notices are removed.
5. User Content and Submissions
5.1 If you submit any comments, suggestions, photographs, videos, text, opinions, feedback, messages or other content through the Platform (collectively, “User Content”), you represent and warrant that:
(a) you own such content or have obtained sufficient rights and permissions to submit it;
(b) such content does not infringe the rights of any third party; and
(c) such content is not defamatory, obscene, unlawful, threatening, discriminatory, fraudulent or otherwise improper.
5.2 By submitting User Content to the Company, you grant the Company a worldwide, non-exclusive, royalty-free, transferable and sublicensable right to operate, promote, display, archive, edit, reproduce and use such User Content.
5.3 The Company shall have the right, but not the obligation, to monitor, review, reject, remove or edit any User Content.
6. Prohibited Conduct
You must not use the Platform to engage in any of the following:
6.1 violating any applicable law, regulation, court order or regulatory requirement;
6.2 impersonating any person or making false or misleading statements;
6.3 gaining unauthorised access to, interfering with, disrupting, reverse engineering, testing or bypassing the security, systems, servers, databases or networks of the Platform;
6.4 transmitting any virus, malicious code, destructive programme or other harmful technology;
6.5 collecting, scraping, extracting, downloading or accessing data or content from the Platform by automated means;
6.6 publishing, uploading or transmitting any defamatory, abusive, obscene, harassing, hateful, threatening, fraudulent, infringing or otherwise improper content;
6.7 interfering with other users’ use of the Platform or placing unreasonable or disproportionate loads on the Platform;
6.8 using the Platform without authorisation for commercial promotion, advertising, solicitation, resale, ticket scalping or other profit-making purposes;
6.9 infringing the intellectual property rights, privacy rights, confidentiality obligations or other lawful rights of the Company or any third party; or
6.10 engaging in any conduct which the Company reasonably considers may harm the reputation, operations or user safety of MCM Partners.
7. Third-Party Websites, Services and Content
7.1 The Platform may contain links to third-party websites, ticketing platforms, payment platforms, applications, social media platforms or other services.
7.2 Such third-party platforms are not controlled or operated by the Company, and the Company accepts no responsibility for their content, availability, functionality, security, privacy practices or performance.
7.3 Your use of any third-party platform or service shall be entirely at your own risk and subject to its own terms and policies.
8. Accuracy and Availability of Information
8.1 The information on the Platform is provided for general reference only. While the Company will use reasonable efforts to keep the information accurate and up to date, it does not guarantee that the content on the Platform is at all times complete, accurate, reliable, timely or error-free.
8.3 The Company does not warrant that the Platform will be uninterrupted, error-free, virus-free, delay-free or completely secure.
9. Disclaimer
9.1 To the fullest extent permitted by applicable law, the Platform and all content, functions and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
9.2 The Company expressly disclaims any warranties relating to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security and continuous availability.
9.3 The Company does not warrant that the Platform will meet your requirements or that any defects will be corrected.
10. Limitation of Liability
10.1 To the fullest extent permitted by applicable law, MCM Partners, its subsidiaries, affiliates, directors, officers, employees, agents, contractors and licensors shall not be liable for any loss, damage, liability, cost or expense arising out of or in connection with your use of, or inability to use, the Platform, reliance on any content on the Platform, any inaccuracy of information, any technical failure, interruption, delay, loss of data, acts of third parties or unauthorised access.
10.2 Without limiting the generality of the foregoing, the Company shall not be liable for any indirect, incidental, special, punitive or consequential loss, including loss of revenue, profit, goodwill, business interruption, data or opportunity.
10.3 Where applicable law does not allow the exclusion of certain liabilities, the Company’s liability shall be limited to the minimum extent permitted by law.
11. Indemnity
You agree to indemnify and hold harmless MCM Partners, its subsidiaries, affiliates, directors, officers, employees, agents and contractors from and against all claims, proceedings, liabilities, losses, damages, judgments, costs and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your breach of these Terms of Use;
(b) your use of the Platform;
(c) any User Content submitted by you;
(d) your infringement of any third-party rights; or
(e) your violation of any applicable law or regulation.
12. Suspension and Termination
12.1 The Company may, without prior notice, suspend, restrict or terminate your access to or use of all or any part of the Platform at any time, especially where the Company considers that you have breached these Terms of Use, applicable law, venue rules, or posed a risk to the Platform, other users or the Company.
12.2 Any provisions which by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnity and governing law, shall remain in effect after termination.
13. Privacy
Your use of the Platform and provision of personal data to the Company are subject to the Company’s Privacy Policy Statement and Personal Information Collection Statement. You should read those documents carefully to understand how we collect, use and process your personal data.
14. Severability
If any provision of these Terms of Use is held by any court or competent authority to be unlawful, invalid or unenforceable, such provision shall be deemed severable to the extent necessary without affecting the legality, validity or enforceability of the remaining provisions.
15. No Waiver
No failure or delay by the Company in exercising any right, power or remedy under these Terms of Use shall operate as a waiver of such right, power or remedy.
16. Entire Agreement
These Terms of Use, together with any other applicable terms and policies published on the Platform from time to time, constitute the entire agreement between you and the Company in relation to the use of the Platform and supersede all prior related communications, understandings or arrangements.
17. Governing Law and Jurisdiction
These Terms of Use shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree that the courts of Hong Kong shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms of Use or your use of the Platform.
